Terms of Service

Effective date: 18 September 2025

This Agreement is between Transparabl Ltd ("Transparabl") and the Customer accessing or using the Services. By using the Platform, you agree to be bound by these Terms of Service. If you do not agree, do not use the Services.

1. Definitions

The following terms have the meanings set out below wherever used in this Agreement:

ServicesThe CSRD reporting platform, ESG tools, and related features provided by Transparabl.
CustomerThe organisation or individual entering into an agreement with Transparabl to use the Services.
Customer DataAll data, information, and content submitted by the Customer through the Services.
Derived DataAggregated, anonymised, or statistical data derived from Customer Data that does not identify the Customer or any individual.
PlatformThe Transparabl software application, including all modules, dashboards, reporting tools, and APIs.
TransparablTransparabl Ltd, the provider of the Services.

2. Scope of Rights

Subject to the terms of this Agreement and payment of applicable fees, Transparabl grants the Customer a non-exclusive, non-transferable, limited licence to access and use the Services during the subscription term.

Restrictions — the Customer must not:

  • Copy, reproduce, or create derivative works of the Platform or its underlying code
  • Reverse engineer, decompile, or attempt to extract source code from the Platform
  • Use the Services for any unlawful, fraudulent, or malicious purpose
  • Share login credentials or allow unauthorised third-party access
  • Upload or transmit malware, viruses, or harmful code
  • Attempt to gain unauthorised access to other accounts or systems

Acceptable use

  • The Customer is responsible for ensuring all users comply with these restrictions
  • The Customer must promptly notify Transparabl of any suspected unauthorised access or security breach

3. Availability & Support

Transparabl targets 99.5% platform uptime, excluding scheduled maintenance windows which will be communicated in advance.

Customer support — response times:

  • Critical issues (platform unavailable): response within 4 hours
  • General issues (features impaired): response within 24 hours
  • Questions and requests: response within 48 hours

Support availability and scope may vary by subscription plan. Details are set out in the applicable plan documentation.

4. Suspension

Transparabl reserves the right to suspend access to the Services in the following circumstances:

  • Non-payment of subscription fees past the due date
  • Material breach of these Terms that remains unremedied after notice
  • Use of the Services for illegal or fraudulent activity
  • A confirmed or suspected security breach attributable to the Customer

Where possible, Transparabl will provide advance notice before suspension. Suspension does not relieve the Customer of payment obligations.

5. Terms & Termination

Subscriptions are provided on a monthly basis and automatically renew at the end of each billing period unless cancelled.

  • Customer may cancel at any time; cancellation takes effect at the end of the current billing period
  • Transparabl may terminate this Agreement with 30 days' written notice
  • Transparabl may terminate immediately for material breach or illegal activity
  • Upon termination, Customer Data will be retained for 90 days to allow data export, after which it will be securely deleted

6. Ownership

The Customer retains full ownership of all Customer Data submitted to the Platform. By using the Services, the Customer grants Transparabl a limited licence to process Customer Data solely for the purpose of providing the Services.

Transparabl retains all intellectual property rights in the Platform, including all software, algorithms, designs, documentation, and Derived Data. Nothing in this Agreement transfers ownership of the Platform to the Customer.

7. Confidentiality

Both parties agree to maintain the confidentiality of the other's confidential information. This obligation survives for 5 years following termination of the Agreement.

Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is disclosed with the disclosing party's consent; or (d) must be disclosed by law.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, TRANSPARABL DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Transparabl does not warrant that the Services will be uninterrupted, error-free, or free from harmful components, or that any defects will be corrected.

9. Representations & Warranties

Each party represents and warrants that it has full authority to enter into this Agreement.

The Customer represents that:

  • It has all necessary rights to submit Customer Data to the Platform
  • Customer Data does not infringe any third-party rights or applicable law
  • It will comply with all applicable data protection and privacy laws

Transparabl warrants that:

  • The Services will function materially in accordance with current documentation
  • Transparabl will implement reasonable technical and organisational security measures

10. Indemnification & Limitation of Liability

Each party will indemnify the other against third-party claims arising from its own breach of this Agreement, negligence, or wilful misconduct.

  • Transparabl's total liability under this Agreement is limited to the fees paid by the Customer in the 12 months preceding the claim
  • Neither party will be liable for indirect, incidental, consequential, or punitive damages, loss of profits, or loss of data
  • These limitations apply to the fullest extent permitted by applicable law

11. General

  • Neither party may assign this Agreement without the other's prior written consent, except in connection with a merger or acquisition
  • Force majeure: neither party is liable for delays caused by events outside their reasonable control
  • Transparabl may update these Terms with 30 days' notice. Continued use of the Services constitutes acceptance
  • If any provision is found unenforceable, the remaining provisions continue in full force
  • This Agreement constitutes the entire agreement between the parties regarding its subject matter

12. Legal Disputes

This Agreement is governed by and construed in accordance with EU law. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Transparabl's place of business.

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.

Terms of Use

Company: Transparabl Ltd, Republic of Cyprus

These Terms of Use govern access to the Transparabl platform and website. They supplement the Terms of Service above and apply to all users. Disputes are subject to Cypriot law and the jurisdiction of the courts of Nicosia, Cyprus. Liability is capped at €500 per incident.

1. Introduction

These Terms of Use govern your access to and use of the Transparabl platform and website operated by Transparabl Ltd, a company incorporated in the Republic of Cyprus. By accessing or using our services, you agree to these terms.

The same definitions from the Terms of Service above apply here: Services, Customer, Customer Data, Derived Data, Platform, and Transparabl.

2. Scope of Rights

Transparabl grants you a non-exclusive, non-transferable licence to use the Platform subject to these Terms of Use. You agree not to copy, reverse engineer, share credentials, upload malware, or use the Platform for unlawful purposes.

3. Availability

We target 99.5% platform availability. Scheduled maintenance will be communicated in advance. Support response times: critical issues within 4 hours, general issues within 24 hours, questions within 48 hours.

4. Suspension

We may suspend your access for non-payment, breach of these terms, illegal activity, or a security incident attributable to your account. We will provide advance notice where practicable.

5. Term & Termination

Monthly subscriptions auto-renew unless cancelled. You may cancel at any time, effective at the end of the current billing period. We may terminate with 30 days' notice, or immediately for material breach. Your data will be retained for 90 days post-termination for export, then securely deleted.

6. Ownership

You retain ownership of your Customer Data. Transparabl retains all intellectual property rights in the Platform, software, and Derived Data. No ownership of the Platform is transferred to you.

7. Confidentiality

Both parties agree to keep confidential information secret. This obligation applies for 5 years after termination. Standard exceptions apply (publicly available information, prior knowledge, legal disclosure).

8. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TRANSPARABL DISCLAIMS ALL IMPLIED WARRANTIES TO THE FULLEST EXTENT PERMITTED BY CYPRIOT AND EU LAW.

9. Representations & Warranties

You represent that you have the right to submit any data you upload, and that it complies with applicable law. Transparabl warrants that the Platform will function materially in accordance with its documentation.

10. Indemnification & Limitation of Liability

Transparabl's total liability to you is limited to €500 per incident. Neither party is liable for indirect or consequential losses. Both parties agree to indemnify the other for claims arising from their own breach or negligence.

11. General

These Terms may be updated with 30 days' notice. Continued use constitutes acceptance. Assignment requires prior written consent. Force majeure applies. If any clause is unenforceable, the rest remains in effect.

12. Legal Disputes

These Terms of Use are governed by the laws of the Republic of Cyprus. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nicosia, Cyprus. Before formal proceedings, both parties will attempt 30-day good-faith negotiation.
